This document serves as an agreement entered into as of TODAY between Droisys Inc (Hereafter ,Main Contractor) 4800 Patrick Henry Dr., Santa Clara CA-95054 and (NAME AS ABOVE) Hereafter Vendor or Consultant,MAILING ADDRESS AS ABOVE

By this agreement Vendor/Consultant grants exclusive right of representation of their employee/s, themselves and/or services to Main Contractor for opportunities with Main Contractor Customers.
Vendor/Consultant understands that the interview arranged by Main Contractor with the client or Consulting Company is a confidential interview. Vendor and its consultant shall take every reasonable care to make it confidential. Vendor and /or consultant agree that for a period of 1 year after the interview, irrespective of selection, neither vendor nor consultant shall accept any employment offered by the client other than secured through the Main Contractor.

Vendor/Consultant agrees not to solicit business directly or indirectly from Main Contractor's clients. Under no circumstance vendor or their consultant will contact Main Contractor's client or Consulting Company. Droisys has every right to enforce legal action if there is any violation on the vendor or consultants part.

After acceptance of this Non-Solicitation Agreement under by the vendor and/or consultant client information will be revealed.

The substantive law of California shall govern this agreement and the parties rights and obligations hereunder. Main contractor shall be entitled to injunctive relief as well as damages for any violation by Vendor or consultant of this agreement and jurisdiction and venue is proper in any proceeding to enforce rights hereunder filed in any court located in Santa Clara County, CA. This Agreement intended to be enforced in accordance with its terms but such terms shall be deemed modified as necessary so as to render them valid and enforceable to the full extent permissible by applicable law.
